1. We Provide Our Web Site "As Is" and Disclaim All Warranties

Our Site, including all content, software and functions made available on or accessed through our Site, is provided "as is, where is" and "as available.” To the fullest extent permissible by law, we and our parent companies make no representations or warranties of any kind as to the content, software or functions accessed through our Site, user-generated content, any products or services, links to third parties, content on third party sites or any breach of security associated with the transmission of sensitive information through our Site or any linked site. WE AND OUR PARENT COMPANIES DISCLAIM ANY EXPRESS OR IMPLIED WARRANTIES, INCLUDING, WITHOUT LIMITATION, NON-INFRINGEMENT, QUIET ENJOYMENT, QUALITY OF INFORMATION, MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. THIS INCLUDES LOSS OF DATA OR PROFIT ARISING OUT OF THE USE OR THE INABILITY TO USE THE CONTENT OF THIS WEB SITE. WE DO NOT WARRANT THAT ANY CONTENT OR INFORMATION ACCESSED THROUGH OUR SITE WILL:

  1. BE UNINTERRUPTED OR ERROR FREE,
  2. THAT THE CONTENT IS FREE FROM CHANGES BY THIRD PARTIES,
  3. THAT DEFECTS WILL BE CORRECTED, AND
  4. THAT OUR SITE OR THE SERVER THAT MAKES IT AVAILABLE IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

IN OTHER WORDS, YOU USE OUR SITE AT YOUR OWN RISK. THEREFORE, IN NO EVENT SHALL EBIBLE.COM OR ANY OF ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, AFFILIATES, SPONSORS OR SERVICE PROVIDERS BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES ARISING FROM OR DIRECTLY OR INDIRECTLY RELATED TO THE USE OF, OR THE INABILITY TO USE, THIS SITE, EVEN IF EBIBLE.COM OR ITS REPRESENTATIVES HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES. 2. We Provide Our Web Site for Your Personal Use Only

The Site has been made available for your personal, non-commercial use only. eBible.com services may not be used in connection with any commercial endeavors except those that are specifically endorsed or approved by eBible.com. Illegal and/or unauthorized use of the eBible.com services, including collecting usernames and/or email addresses of members by electronic or other means for the purpose of sending unsolicited email, is prohibited. Furthermore, you may not take the results from an eBible.com search and reformat and display them, or mirror the eBible.com home page or results pages on your Web site. You may not "meta-search" eBible.com. If you want to make commercial use of the eBible.com, you must enter into an agreement with us to do so in advance. 3. Membership Eligibility

Use of and membership in eBible.com is void where prohibited. By using the Site, you represent and warrant that (a) all registration information you submit is truthful and accurate; (b) you will maintain the accuracy of such information; (c) you are 14 years of age or older; and (d) your use of the Site does not violate any applicable law or regulation. Your membership may be terminated without warning if we believe that you are under 14 years of age. This also means that children under 14 cannot sign up for any of the Site’s online registrations, email groups, discussion boards, blogs or membership programs. Refer to the Privacy Policy for more information.

4. Term of Agreement

The Terms and Conditions shall remain in full force and effect while you use the Site or are a member. You may terminate your membership at any time, for any reason, by emailing us at terms@ebible.com. However, eBible.com may terminate your membership at any time, without warning. Even after the membership is terminated, the Terms and Conditions will remain in effect, including Provisions 1, 10, 15, 16, 19, 21, 22 and 24.

5. Password

When you sign up to become a member, you will also be asked to choose a password. You are entirely responsible for maintaining the confidentiality of your password. You agree not to use the account, username or password of another member at any time or to disclose your password to any third party. You agree to notify eBible.com immediately (terms@ebible.com) if you suspect any unauthorized use of your account or access to your password. You are solely responsible for any and all use of your account.

6. Fees

You acknowledge that eBible.com reserves the right to charge for the eBible.com services and to change its fees from time to time at its discretion. If eBible.com terminates your membership because you have breached the Terms and Conditions, you shall not be entitled to the refund of any unused portion of subscription or online editions fees.

7. Member Disputes

You are solely responsible for your interactions with other eBible.com members. eBible.com reserves the right, but has no obligation, to monitor disputes between you and other members.

8. Right to Refuse or Remove Any Postings

eBible.com reserves the right, in its sole discretion, to reject, refuse to post or remove any posting (including private messages) by you, or to restrict, suspend, or terminate your access to all or any part of the eBible.com services at any time, for any or no reason, with or without prior notice, and without liability.

Commercial advertisements, affiliate links and other forms of solicitation may be removed from postings without notice and may result in termination of membership privileges. Appropriate legal action will be taken for any illegal or unauthorized use of eBible.com.

9. Content/Activity Prohibited

The following is a partial list of the kind of content that is illegal or prohibited to post on or through the eBible.com services. eBible.com reserves the right to investigate and take appropriate legal action against anyone who, in eBible.com's sole discretion, violates this provision, including without limitation, removing the offending communication from the eBible services and terminating the membership of such violators. Prohibited Content includes, but is not limited to content that, in the sole discretion of eBible.com:

  1. is patently offensive and promotes racism, bigotry, hatred or physical harm of any kind against any group or individual;
  2. harasses or advocates harassment of another person;
  3. exploits people in a sexual or violent manner;
  4. contains nudity, violence or offensive subject matter or contains a link to an adult website;
  5. solicits personal information from anyone under 18;
  6. provides any telephone numbers, street addresses, last names, URLs or email addresses;
  7. promotes information that you know is false or misleading or promotes illegal activities or conduct that is abusive, threatening, obscene, defamatory or libelous;
  8. promotes an illegal or unauthorized copy of another person's copyrighted work, such as providing pirated computer programs or links to them, providing information to circumvent manufacture-installed copy-protect devices, or providing pirated music or links to pirated music files;
  9. involves the transmission of "junk mail," "chain letters," or unsolicited mass mailing, instant messaging, "spimming" or "spamming";
  10. contains restricted or password only access pages or hidden pages or images (those not linked to or from another accessible page);
  11. furthers or promotes any criminal activity or enterprise or provides instructional information about illegal activities including, but not limited to making or buying illegal weapons, violating someone's privacy, or providing or creating computer viruses;
  12. solicits passwords or personal identifying information for commercial or unlawful purposes from other users;
  13. involves commercial activities and/or sales without our prior written consent such as contests, sweepstakes, barter, advertising or pyramid schemes;
  14. includes copyrighted material, trademarks, or other proprietary information belonging to others without obtaining the prior written consent of the owner of such proprietary rights.
  15. includes a photograph of another person that you have posted without that person's consent; or
  16. uses sexually suggestive imagery or any other unfair, misleading or deceptive content intended to draw traffic to the note, bookmark or other user-generated content.

The following is a partial list of the kind of activity that is illegal or prohibited on the Site and through your use of the eBible services. eBible.com reserves the right to investigate and take appropriate legal action against anyone who, in eBible.com's sole discretion, violates this provision, including without limitation, reporting you to law enforcement authorities. Prohibited activity includes, but is not limited to:

  1. criminal or tortious activity, including child pornography, fraud, trafficking in obscene material, drug dealing, gambling, harassment, stalking, spamming, spimming, sending of viruses or other harmful files, copyright infringement, patent infringement or theft of trade secrets;
  2. advertising to, or solicitation of, any member to buy or sell any products or services through the eBible.com services. You may not transmit any chain letters or junk email to other members. It is also a violation of these rules to use any information obtained from the eBible.com services in order to contact, advertise to, solicit or sell to any member without their prior explicit consent. If you breach these Terms and Conditions and send unsolicited bulk email, instant messages or other unsolicited communications of any kind through the eBible.com services, you acknowledge that you will have caused substantial harm to eBible.com, but that the amount of such harm would be extremely difficult to ascertain. As a reasonable estimation of such harm, you agree to pay eBible.com $50 for each such unsolicited email or other unsolicited communication you send through the eBible.com services;
  3. covering or obscuring advertisements on any eBible.com page via HTML/CSS or any other means;
  4. any automated use of the system, such as using scripts to add friends to your network or send out comments or verses;
  5. interfering with, disrupting, or creating an undue burden on the eBible.com services or the networks or services connected to the eBible.com services;
  6. attempting to impersonate another member or person;
  7. using the account, username or password of another member at any time or disclosing your password to any third party or permitting any third party to access your account;
  8. selling or otherwise transferring your membership;
  9. using any information obtained from the eBible.com services in order to harass, abuse or harm another person;
  10. displaying an advertisement in your posts (e.g. notes or bookmarks), or accepting payment or anything of value from a third person in exchange for your performing any commercial activity on or through the eBible.com services on behalf of that person, such as placing commercial content in your notes or bookmarks, posting blogs or bulletins with a commercial purpose or sending private messages with a commercial purpose; or
  11. using the eBible.com services in a manner inconsistent with any and all applicable laws and regulations.

10. If You Transmit or Provide Data to Us, It is Non-Confidential

We do not want to receive confidential information from you through our Site. We cannot be held liable for information transmitted to or between members. If you post content on our Site for your own use, to transmit the information to another member or to post it for public use, the information will be treated as non-confidential. The sender of any information to eBible.com or through an eBible.com service is fully responsible for its content, including its truthfulness, accuracy and its non-infringement of any other person, organization or entity's proprietary rights. eBible.com does not endorse and has no control over the content. Furthermore, Content is not necessarily reviewed by eBible.com prior to posting and does not necessarily reflect the opinions or policies of eBible.com. Content and personal information provided to us will be handled in accordance with our Privacy Policy.

The license you grant to eBible.com is non-exclusive (meaning you are free to license your Content to anyone else in addition to eBible.com), fully-paid and royalty-free (meaning that eBible.com is not required to pay you for the use of the Content that you post on the Site), sublicensable (so that eBible.com is able to use its affiliates and subcontractors such as Internet content delivery networks to provide the eBible.com services) and worldwide (because the Internet and the Site are global in reach). This license will terminate at the time you remove your Content from the Site. The license does not grant eBible.com the right to sell your Content, nor does the license grant eBible.com the right to distribute your Content outside of the eBible.com services.

11. Posting Copyrighted Works

You may not post, modify, distribute, or reproduce in any way any copyrighted material, trademarks, or other proprietary information belonging to others without obtaining the prior written consent of the owner of such proprietary rights. It is the policy of eBible.com to terminate membership privileges of any member who repeatedly infringes the copyright rights of others upon receipt of prompt notification to eBible.com by the copyright owner or the copyright owner's legal agent.

Without limiting the foregoing, if you believe that your work has been copied and posted on the eBible.com services in a way that constitutes copyright infringement, please provide us with the following information: (i) an electronic or physical signature of the person authorized to act on behalf of the owner of the copyright interest; (ii) a description of the copyrighted work that you claim has been infringed; (iii) a description of where the material that you claim is infringing is located on the eBible.com services; (iv) your address, telephone number, and email address; (v) a written statement by you that you have a good faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law; (vi) a statement by you, made under penalty of perjury, that the above information in your notice is accurate and that you are the copyright owner or authorized to act on the copyright owner's behalf. eBible.com, for notice of claims of copyright infringement, can be reached as follows:

12. We Do Not Have Responsibility for Links to Third Party Content

We may provide hyperlinks or pointers to other web sites maintained by third parties or may provide third party content on our web site by framing or other methods. The links to third party web sites are provided for your convenience and information only. The content in any linked web sites is not under our control. Therefore, we are not responsible for the content, including any further links in the third party site. If you decide to access any of the third party sites linked to from our web site, you do this entirely at your own risk. It is up to you to take precautions to ensure that the third party you visit is free of computer viruses, worms, trojan horses and other items of a destructive nature.

Ads, bookmarks, notes, and other user-created displayed content are developed by people over whom eBible.com exercises little control and may include links to sites other than eBible.com. The user-generated content that appears from eBible.com’s indices comes from automated machinery and computers. eBible.com cannot and does not screen every site linked to from one of those sources.

Although we reserve the right to remove inappropriate user-created content, we cannot guarantee that ad results will not link to sites that someone will find objectionable, inappropriate or offensive. We cannot guarantee that an eBible.com search will not locate unintended or objectionable content. Therefore, we assume no responsibility for the content included in any search results or otherwise linked to by the Site.

13. If We Provide a Link, We Do Not Necessarily Endorse a Third Party

We reserve the right to terminate a link to a third party web site at any time. The fact that we provide a link to a third party web site does not mean that we endorse, adopt, authorize or sponsor that web site. It also does not mean that we are affiliated with the third party web site's owners or sponsors.

14. If a Third Party Links to Our Site, It is Not an Endorsement

If a third party links to our Site, it is not necessarily an indication of an endorsement, adoption, authorization, sponsorship, affiliation, joint venture or partnership by or with us. In most cases, we are not aware that a third party has linked to our Site.

16. All Content We Provide on Our Web Site is Copyrighted

All content eBible.com provides on this Site, other than content submitted by members, including any materials, documents, text, designs, graphics, logos, images, audio and video ("Content") is the property of eBible.com or its affiliates and suppliers, and is protected by Canadian and international copyright laws. The compilation and "look and feel" of all Content on this Site is the exclusive property of eBible.com and/or its parent companies and is also protected by Canadian and international copyright laws. You may not inline, frame or utilize framing techniques to enclose any trademark, logo or other proprietary information of eBible.com (including images, text, page layout or form) without our prior express written permission.

17. No Automated Querying

You may not send automated queries of any sort to eBible.com’s system without express permission in advance from eBible.com. Note that "sending automated queries" includes, among other things:

18. You Must Obey Local Laws in Accessing Our Site

This Site is controlled by eBible.com and its parent companies from offices within Canada. We make no representation that the content or materials on the Site are appropriate or available for use in other jurisdictions. Access to our Site content or materials from jurisdictions where such access is illegal is prohibited. If you choose to access this Site from other jurisdictions, you do so on your own initiative and are responsible for compliance with applicable local laws. 19. You are Bound by Changes in These Terms and Conditions

We may at any time revise these Terms and Conditions by updating this page. By using our Site, you agree to be bound by any such revisions and should therefore periodically visit this page to determine the then current terms and conditions to which you are bound. Certain provisions of these Terms and Conditions may be superseded by other legal notices or terms located on parts of our Site.

20. You Agree to Indemnify Us for Using Our Site

You hereby jointly and severally agree to indemnify, defend and hold us, our parent companies, subsidiaries, affiliates and any of our or their respective officers, directors, owners, agents, employees, information providers, licensors and licensees (collectively, the "Indemnified Parties") harmless from and against any and all liability and costs, including, without limitation, attorneys' fees and costs incurred by the Indemnified Parties in connection with any claim arising out of your use of our Site or any breach by you of these Terms and Conditions, or the purchase by you of securities, including any liabilities associated with a violation of federal or provincial securities laws. 21. Third Parties May Have Rights under This Agreement

Some of the provisions of these Terms and Conditions are for the benefit of eBible.com, our parent companies and our subsidiaries, affiliates, officers, directors, employees, agents, licensors and suppliers. Each of these individuals or entities shall have the right to assert and enforce those provisions directly against you on its own behalf.

22. How This Agreement May Be Terminated

These Terms and Conditions may be terminated by either party without notice at any time for any reason; provided that you may no longer use our Site after you have terminated this agreement. Provisions 3, 7, 8, 9, 13, 15, 16 and 18 of these Terms and Conditions shall survive any termination.

23. Governing Law and Arbitration

Any legal issues arising from or related to your visit to the Site or services provided through the Site shall be construed in accordance with, and all questions with respect thereto shall be determined by, the laws of the Province of Alberta applicable to contracts entered into and wholly to be performed within that Province. Any controversy or claim arising out of or relating to these Terms and Conditions and any use of the Site shall be settled by binding, confidential arbitration in accordance with the commercial arbitration rules of the American Arbitration Association. Any such controversy or claim shall be arbitrated on an individual basis, and shall not be consolidated in any arbitration with any claim or controversy of any other party. The arbitration shall be conducted in Alberta, Canada, and judgment on the arbitration award may be entered into in any provincial or federal court in Alberta having jurisdiction thereof. Any party seeking temporary or preliminary injunctive relief may do so in any provincial or federal court in Alberta having jurisdiction thereof. Except as set forth above, the provincial and federal courts of Alberta shall be the exclusive forum and venue to resolve disputes arising out of or relating to these Terms and Conditions or any use of merchandise sold through this Site. By using this Site, and thereby agreeing to these Terms and Conditions, users consent to personal jurisdiction and venue in the provincial and federal courts in Alberta with respect to all such disputes.

24. Miscellaneous

Our failure to insist upon or enforce strict performance of any provision of these Terms and Conditions shall not be construed as a waiver of any provision or right. Neither the course of conduct between the parties nor trade practice shall act to modify any provision of these Terms and Conditions. We may change, suspend or discontinue any aspect of our Site or service at any time. eBible.com reserves the right to change system configurations, product specifications, upgrades, pricing, layouts, options and any other specifications at any time without notice. We may also impose limits or restrictions on certain services, features or content or restrict your access to parts or all of our Site without notice or liability.
